Terms of Service

These Terms of Service (the "Terms") constitute a legally binding agreement between you (whether individually or representing an entity, "User", "you") and Dayaside ("Dayaside", "we", "our", or "us"), governing your installation, execution, and utilization of our mobile client package (app.dayaside.android) and related public web resources located at https://dayaside.app.

By tapping "Accept", installing, sideloading, or maintaining runtime instances of Dayaside on your Android operating device, you acknowledge that you have read, comprehended, and agreed to be unreservedly bound by these Terms. If you do not consent to every provision contained herein, you must immediately terminate execution and purge all copies of the software artifact from your device storage.

Dayaside provides an ambient and manual on-device audio recording tool engineered specifically for Android hardware platforms. Key capabilities include:

• Low-power background microphone capture powered by local Android foreground services and discrete battery management optimizations.
• Geographic geofencing triggers mapped to spatial coordinates defined strictly within internal Android OS hardware boundaries.
• Temporal scheduled recording rules configured by the user without reliance on remote Cron or external push server signals.
• On-device heuristic speech indexing, audio waveform compilation, and sovereign storage partitioning.

You affirm that you are at least eighteen (18) years of age or possess the legal majority status required in your municipal jurisdiction to enter into binding legal agreements. Dayaside is strictly prohibited for utilization by individuals under thirteen (13) years of age (or under sixteen (16) within the European Economic Area) under any circumstances.

You further affirm that you are not situated in, under the authority of, or a citizen of any sovereign territory subject to comprehensive commercial sanctions or trade embargoes, nor are you listed on any denied persons list issued by lawful trade enforcement bodies.

Subject to your continuous compliance with these Terms, Dayaside grants you a personal, revocable, non-exclusive, non-transferable, non-sublicensable, limited software license to download, install, and execute the binaries of app.dayaside.android on compatible physical hardware devices owned or directly controlled by you.

Absolute User Ownership: You retain complete, unrestricted 100% intellectual property ownership, copyright, and custodial rights in all audio files, waveforms, metadata stamps, location notes, and algorithmic transcripts produced through your deployment of Dayaside.

Absence of Dayaside Access: Under no scenario does Dayaside maintain remote roots, escrow access keys, or cloud buckets holding your audio files. Your recordings reside solely within the Android internal sandboxed file directory of your personal terminal.

Manual Dispatch Mechanics: If you elect to export, broadcast, or share an individual audio manifest or recording file via Android intent sheets (e.g., email, messaging apps, or cloud drives), such transmission is executed strictly under your affirmative direction. Dayaside claims zero license in shared artifacts.

SECTION 7 CONTAINS BROAD WARRANTY EXCLUSIONS. READ CAREFULLY.

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE STATUTE, DAYASIDE IS PROVIDED ON STRICTLY AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OR COVENANTS OF ANY KIND, WHETHER EXPRESSED, IMPLIED, STATUTORY, OR OTHERWISE.

WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT RECORDING CAPTURE WILL BE UNINTERRUPTED, FREE OF HARDWARE INCOMPATIBILITY, SILENT FROM ANDROID OS BATTERY-SAVER KILL INTERRUPTIONS, OR VERIFIABLE AS CERTIFIED LEGAL EVIDENCE IN JURISPRUDENTIAL PROCEEDINGS.

You maintain the absolute responsibility for establishing redundant offline hardware backups of your local audio logs. Dayaside assumes no liability for storage corruption, hardware loss, water damage, device factory resets, or unintentional user deletions.

IN NO EVENT SHALL DAYASIDE, ITS FOUNDERS, ENGINEERS, CONTRACTORS, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES—INCLUDING LOST DATA, LOST MEMORY CAPTURES, DEFAMATION DISPUTES, WIRETAP SANCTIONS, LOSS OF PROFIT, OR HARDWARE FAILURE—ARISING OUT OF OR PERTAINING TO YOUR INTERACTION WITH THE SERVICE.

You may terminate these Terms at any time without penalty or notice simply by uninstalling the application (app.dayaside.android) and purging all residual local app sandbox directories through the native Android Application Settings panel.

Because Dayaside does not maintain remote user credentials or central database accounts, uninstalling and clearing local app storage permanently deletes all application operational states. We reserve the right to suspend support or discontinue updates for specific legacy Android API levels at our architectural discretion.

These Terms and your use of Dayaside shall be governed by and construed in strict accordance with the substantive laws of the State of Delaware, United States, without regard to conflict of law principles that would apply the laws of another jurisdiction.

Any formal controversy or claim arising out of or relating to these Terms shall first be submitted to informal good-faith negotiation for a period of not less than thirty (30) days by contacting our legal desk. Any unresolved dispute shall be settled by binding individual arbitration conducted by the American Arbitration Association (AAA), waiving class action participation.

We reserve the right to revise or modify these Terms at our sole discretion. Any update will be reflected with a revised "Last updated" timestamp and incremented document revision index at the top of this document and within the public Git repository linked to https://dayaside.app.

Your continued execution and retention of the application following the publication of revised Terms signifies your complete acceptance of the updated conditions. If any modification is deemed unacceptable by you, your sole recourse is to terminate operation and uninstall the software.
